Terms & Conditions

These Terms and Conditions ("Terms") govern all consulting services ("Services") provided by the Consulting Division of Neu Nutrition ("Neu Nutrition", "Company", "we", "us", or "our") to clients ("Client", "you", or "your") who engage us for project development, formulation, strategic support, and other related consulting activities. By initiating any engagement with Neu Nutrition, the Client agrees to be legally bound by these Terms.

1. Engagement and Service Agreement

Upon confirmation of engagement, the Client and Neu Nutrition will enter into a formal Services Agreement, outlining the scope, timelines, deliverables, and financial terms. This Services Agreement will be binding on both parties, and will supersede any informal understanding or prior communication. In case of conflict, the terms of the Services Agreement shall prevail over these general Terms and Conditions.

2. Non-Refund Policy

All payments made to Neu Nutrition for consulting services are non-refundable, unless a refund provision is explicitly stated in the Services Agreement signed by both parties. No verbal or informal assurances shall constitute grounds for a refund.

3. Legal Jurisdiction

These Terms and any dispute arising out of or in connection with them shall be governed by the laws of India, with exclusive legal jurisdiction vested in the courts of Hyderabad, Telangana.

4. Confidentiality and Exclusivity

Neu Nutrition maintains strict confidentiality regarding all project proposals, ideas, formulations, and business plans shared by the Client. The Company:

  • Does not share, reuse, or replicate any formula, concept, or intellectual property developed for one Client with any other party.

  • Does not disclose Client identity or project details to third parties unless required by law or expressly authorized by the Client.

5. Intellectual Property and Ownership

Unless otherwise stated in the Services Agreement, all intellectual property, formulations, and documents specifically created for the Client shall be the sole property of the Client upon full and final payment. Neu Nutrition does not retain ownership rights over such client-specific work.

6. Non-Solicitation Clause

The Client agrees not to solicit, hire, or engage directly or indirectly any consultant, contractor, employee, or affiliate of Neu Nutrition during the term of engagement and for a period of 12 (twelve) months following termination of the engagement.

Any attempt to circumvent this provision will constitute a material breach and may be subject to legal action, including injunctive relief and claims for damages.

7. Limitation of Liability

All services are provided in good faith and on a professional, best-effort basis. However:

  • No personal liability shall be attributed to any consultant, advisor, or affiliate of Neu Nutrition individually.

  • The Company's liability, if any, shall be limited to the fees actually received under the applicable Services Agreement.

  • Neu Nutrition shall not be liable for any consequential, incidental, indirect, or special damages arising from the services rendered.

8. Quality and Regulatory Compliance

Neu Nutrition adheres to applicable regulatory standards (such as FSSAI) in providing guidance and support. However, the Client shall be ultimately responsible for obtaining necessary licenses, registrations, and product approvals unless otherwise agreed in writing.

9. Procurement and Materials

During product development, materials are sourced from approved vendors. Once ingredients are finalized, Certificates of Analysis (COAs) and vendor details will be shared with the Client. For production, procurement may be handled by the Client or by Neu Nutrition, as mutually agreed upon.

10. Force Majeure

Neu Nutrition shall not be held liable for any delay or failure in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, labor disputes, government actions, or supply chain disruptions.

11. Changes to Terms

Neu Nutrition reserves the right to amend or modify these Terms at any time. Material changes will be communicated in writing. Continued use of our consulting services constitutes acceptance of the revised Terms.

12. Entire Agreement

These Terms, along with any executed Services Agreement, constitute the entire agreement between the Client and Neu Nutrition's Consulting Division and supersede all prior communications, written or oral, relating to the subject matter herein.
